The paper focuses on the relevance of the annual report with regard to the resolution approving the annual financial statements. The annual report contains some information which are useful in order to achieve a true and fair view of the economic and financial situation of the company. Consequently, it is worthy analysing if the afore-mentioned resolution is invalid or void in case of lack of such information.

Abstract
The paper focuses on the relevance of the annual report with regard to the resolution approving the annual financial statements.
