Le clause generali nel nuovo diritto societario (art. 2409 c.c. e finanziamenti dei soci)

La presente tesi si articola in tre parti:la prima parte è di teoria generale del diritto ed è dedicata alla tematica delle clausole generali; nella seconda parte si affronta la tematica del controllo giudiziario, che è stato oggetto di un forte ridimensionamento da parte del Legislatore della riforma; la terza parte verte infine sulla clausola generale cui il Legislatore affida la regolamentazione del fenomeno dei finanziamenti dei soci alla società.

This thesis is constituted of three parts: the first part deals of general theory of law and is dedicated to the theme of the general clauses; the second part deals with the theme of judicial control, which has been object of a deep right-sizing from the Legislator of the reform; the third part, in conclusion, deals with the general clause in which the Legislator confides the regulation of the phenomenon of the partners’ funding to the company.
