I flussi informativi nei gruppi di società per azioni

Il tema della ricerca si fonda sulla fluidità conoscitiva intersocietaria riscontrabile per astratto nelle strutture plurisocietarie definite "gruppi di società". Per poter analizzare i potenziali canali informativi, e giungere quindi alla contezza di un sistema informativo fluido, appare preliminarmente necessario individuare le due coordinate giurisprudenziali, ed il fenomeno di gruppo, e ciò anche alla luce della riforma societaria. Il problema relativo alla circoscrizione dell'attività di direzione e coordinamento ed all'individuazione del limite oltrepassato il quale risulti sbilanciato il rapporto tra interesse gestorio di gruppo e vantaggio generale rileva ai fini della presente ricerca, poiché la questione dei flussi di informazioni abbraccia in realtà ogni singolo momento della vita del gruppo. L'informazione circolante è elemento democratico, che permette di appianare spigolosità gestorie e colmare deficit descrittivi, di rendere più fluida la gestione della controllata, di poter evidenziare e prevedere quei vantaggi compensativi che naturalmente saranno addotti quale giustificazione di comportamenti prima facie azzardati o sconvenienti.

This research wants to prove the usefulness of a continuous flow of information between to or more companies, extensible to every apect of the business life of the controlled ones. Thanks to this fow, the holding will be able to work out common strategic lines. The analysis of the civil code concerning the information flow allows to establish if a right to obtain information is admitted in Italian commercial law or not. The group of companies is considered as an "only one company" and the circulation of the information inside appears as an aspect of the corrected management. The duty to inquire informations and to organize th cirulation of the informations between companies answers to an elementary principle of organization of the entrepreneurial activity. The holding is in a position to previewing and organizing the informative flows, as well as the other instruments in order to carry out a correct exercise of the group. An efficient organization in that way, with the predisposition of adapted informative systems between companies, clearly proves to be a requirement not only on the business plan, but also and above all on the legal plan, to the aim to prevent application of a series of dispositions of repressive character.
