This paper analyses the relationship between the 1980 United Nations Convention on Contracts for the International Sale of Goods and preliminary agreements entered into by commercial operators in view of the future sale, likely to fall under the scope of the Convention. The paper thus addresses both the question as to whether those preliminary agreements are governed by the Convention and the question as to the impact of those preliminary agreements on subsequent contracts falling under the scope of the Convention.

Abstract

This paper analyses the relationship between the 1980 United Nations Convention on Contracts for the International Sale of Goods and preliminary agreements entered into by commercial operators in view of the future sale, likely to fall under the scope of the Convention. The paper thus addresses both the question as to whether those preliminary agreements are governed by the Convention and the question as to the impact of those preliminary agreements on subsequent contracts falling under the scope of the Convention.
